Legal Disclaimer
These Terms & Conditions govern the use of TrimaMore’s services and website and the engagement of its automation and consultancy services. By accessing this website or engaging TrimaMore’s services, you agree to comply with and be bound by the terms outlined below.
1.1
Scope of Services
TrimaMore provides process consulting, automation, and implementation services focused on improving backend administrative workflows, including but not limited to Excel optimisation, data transformation, report automation, and document generation. All services will be defined by a mutually agreed project scope, proposal, quotation, or statement of work.
1.2
Engagement & Deliverables
Project scope, timelines, milestones, and deliverables will be agreed upon prior to commencement. Any deviations or additional requests outside the original scope may result in revised timelines and additional charges, subject to mutual agreement.
1.3
Fees, Payments & Refunds
All fees, deposits, milestone payments, and refund terms are governed by TrimaMore’s Refund Policy, which forms an integral part of these Terms & Conditions. By confirming a project and making payment, you acknowledge acceptance of the pricing structure and payment schedule.
1.4
Client Responsibilities
Clients agree to: - Provide accurate and timely information necessary for project execution - Respond to queries and approvals within reasonable timeframes - Ensure internal approvals are obtained where required Delays caused by incomplete information or lack of response may affect timelines without liability to TrimaMore.
1.5
Intellectual Property
Unless otherwise agreed in writing: - All automation scripts, templates, frameworks, and methodologies developed by TrimaMore remain the intellectual property of TrimaMore. - The client is granted a non-transferable right to use the delivered solutions for internal business purposes only. Reproduction, resale, or distribution without written consent is prohibited.

Confidentiality
All customer-related information shared between TrimaMore and the client shall be treated as confidential and handled in accordance with the Privacy Policy.
1.7
Non-Disclosure Agreement (NDA)
The client agrees that any information disclosed by TrimaMore, including but not limited to pricing, project plans, proposals, client prospects, materials, or any other information designated or reasonably understood as confidential, shall be kept strictly confidential. The Client shall not disclose, share, or use such Confidential Information for any purpose other than in connection with discussions or engagements with TrimaMore. This obligation shall survive the termination or expiration of these Terms.
1.8
Limitation of Liability
TrimaMore shall not be liable for any indirect, incidental, consequential, or business losses arising from the use or inability to use the delivered solutions, including but not limited to loss of profits, data, or operational downtime. Clients remain responsible for validating outputs, maintaining backups, and ensuring business continuity measures.
1.9
Indemnity
The Client agrees to indemnify, defend, and hold harmless TrimaMore, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, or expenses (including legal fees) arising out of or in connection with: - Any misuse, improper use, or modification of the solutions, templates, scripts, or deliverables provided by TrimaMore; - The Client’s failure to comply with the instructions, guidelines, or recommendations provided by TrimaMore; - Any breach of these Terms & Conditions by the Client; or - Any third-party claims resulting from the Client’s use of the deliverables. This indemnity does not apply to claims caused solely by TrimaMore’s gross negligence or willful misconduct.
1.10
Termination
Either party may terminate a project by providing written notice. Payment obligations for completed milestones and the non-refundable nature of deposits remain enforceable upon termination.
1.11
Website Usage
Website content is provided for general informational purposes only. TrimaMore reserves the right to modify or remove content without notice. Unauthorised use of this website or its content may result in legal action.
1.12
Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of Singapore.
1.13
Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to this Agreement, or its breach, termination, or invalidity, shall first be attempted to be resolved amicably through good faith discussions between the parties. If the parties cannot resolve the dispute within 30 days, the dispute shall be submitted to mediation administered by the Singapore Mediation Centre (SMC) before resorting to any court proceedings.

Amendments
TrimaMore reserves the right to update these Terms & Conditions at any time. Continued use of the website or services constitutes acceptance of any changes.
1.15
Final Agreement Reliance
This Service Agreement, along with referenced proposals and statements of work, constitutes the ultimate and complete agreement between the parties regarding the services provided. Any previous agreements, verbal or written, are superseded unless expressly incorporated in writing.
1.16
Force Majeure
Neither party shall be held liable for any failure or delay in performing their obligations under this Agreement if such failure or delay is caused by circumstances beyond their reasonable control, including but not limited to natural disasters, acts of government, strikes, or power failures. Each party shall promptly notify the other of any such event and make reasonable efforts to resume performance as soon as practicable.

Resolution
Bug
A bug is defined as an error, fault, or flaw in the code that causes the software to behave unexpectedly, fail to meet the functional specifications as outlined in the project agreement, or results in a critical issue impacting usability. Bugs do not include issues arising from changes in client requirements or external factors such as updates in third-party libraries or platforms after project delivery.
Bugs will be addressed and resolved at no additional cost during the project term and within 1 week following project completion, unless otherwise specified.
Minor Adjustment
A minor adjustment refers to small, non-functional changes or enhancements that involve limited code modification to improve user experience or visual elements, adjust layout, modify text, or make minor stylistic updates. Minor adjustments do not impact the core functionality or structure of the application and are limited to minor code changes that take up to 1 hour to complete.
Up to 3 minor adjustments are included within the quoted fee. Additional minor adjustments will be billed at the after-support rate
Major Change
A major change constitutes any request for modifications that alter the scope or functionality of the project beyond the originally agreed specifications. This includes new feature requests, significant restructuring of the code, performance optimization, or integration with new systems. Major changes require additional coding effort exceeding 1 hour and may affect project timelines and cost.
Major changes will be treated as additional work, billed separately at the agreed hourly rate or as a new project, pending client approval.
Additional Rework Conditions
The above definitions apply only to work within the original project scope. Requests that extend beyond these definitions may require adjustments to the project timeline and additional fees.
All rework requests must be made within 3 working days of date of final delivery, or they may be billed separately.
